If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.


MODIFICATIONS AND INTERRUPTIONS

However, we have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of the Site without notice at any time. GOVERNING LAW

These Terms of Use and your use of the Site are governed by and construed in accordance with the laws of the State of Maryland applicable to agreements made and to be entirely performed within the the State of Maryland, without regard to its conflict of law principles.


DISPUTE RESOLUTION


Informal Negotiations


To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each a ‚’Dispute‚’ and collectively, the ‚’Disputes‚’) brought by either you or us (individually, a ‚’Party‚’ and collectively, the ‚’Parties‚’), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (‚’AAA‚’) and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (‚’AAA Consumer Rules‚’), both of which are available at the AAA website www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in United States of America County, MO. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in United States of America County, MO, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms of Use.

In no event shall any Dispute brought by either Party related in any way to the Site be commenced more than one (1) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Restrictions


The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.



Exceptions to Informal Negotiations and Arbitration


The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.


CORRECTIONS

There may be information on the Site that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.


DISCLAIMER

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the lesser of the amount paid, if any, by you to us. Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply to you, and you may have additional rights.


LIMITATIONS OF LIABILITY

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site, even if we have been advised of the possibility of such damages. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys‚ fees and expenses, made by any third party due to or arising out of: (1) use of the Site; (2) breach of these Terms of Use; (3) any breach of your representations and warranties set forth in these Terms of Use; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) any overt harmful act toward any other user of the Site with whom you connected via the Site. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.


USER DATA

We will maintain certain data that you transmit to the Site for the purpose of managing the performance of the Site, as well as data relating to your use of the Site. These Terms of Use operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Use and does not affect the validity and enforceability of any remaining provisions. Zyter Health, known for its cloud-based telehealth, home health, and remote patient monitoring services, and Casenet TruCare, a leading enterprise care management platform, have unified under the Zyter|TruCare brand to enhance their impact in the healthcare sector.

Mr. Govil began his association with Zyter in 2017 as its Chief Executive Officer, a position he held for over six years, leading the company through groundbreaking advancements in digital health. His leadership was pivotal in Zyter’s acquisition of Casenet® LLC in 2021, significantly expanding the company’s reach to manage healthcare for 11% of the U.S. population. Zyter’s suite of products has been instrumental in improving clinical operations and patient outcomes and reducing healthcare costs through enhanced interoperability, communication, and collaboration. 

The rebranding to Zyter|TruCare in 2023 exemplifies the company’s ongoing dedication to providing innovative, patient-centered solutions in digital health. Before his tenure at Zyter, Mr. Govil was the founder and driving force behind Infinite Computer Solutions, leading to a successful IPO on the Bombay Stock Exchange in 2010. Under his leadership, Infinite grew into a global technology solutions and services company with over 10,000 employees. 

Internationally recognized for his business acumen and philanthropic efforts, Mr. Govil has significantly contributed to think tanks on international business, foreign policy, and economics. His leadership during the COVID-19 pandemic earned him several awards, highlighting his commitment to helping others during challenging times. 

A dedicated philanthropist, Mr. Govil supports entrepreneurship through The Sanjay Govil Foundation and the TiE DC’s Young Entrepreneurs Program. He is also actively involved with the Wharton School of Business, contributing his expertise in various capacities. 

Mr. Govil holds a Bachelor of Science in Electrical Engineering from Auburn University and has completed graduate studies at Syracuse University and the Wharton School of Business. Ning Yan

Director of Product Management

Ning Yan is a dynamic leader, serving as the Director of Product Management at Zyter|TruCare. In her pivotal role, she leads a dedicated team of product managers who are central to the value-based care product line, and a skilled team of product designers crafting a consistent and user-friendly design system for Zyter|TruCare’s product suite.

Ning’s career path is a blend of hands-on experience and expertise. Before her tenure at Zyter|TruCare, Ning honed her skills in the enterprise cloud CRM domain, especially in the healthcare and communications arenas. Her professional journey began at Vlocity as a UX designer, where she excelled in leading design discovery and delivery projects for a diverse global clientele. Following Vlocity’s acquisition by Salesforce, Ning transitioned to a role as a product manager at Salesforce Industries’ Health Cloud. Here, she played a vital role in the development and launch of features tailored specifically for the Payer and Provider markets.

Ning boasts a robust academic foundation. She completed her master’s degree in Human Computer Interaction from the Georgia Institute of Technology. This comprehensive program provided her with deep insights into user-centered design frameworks and interaction design strategies. Additionally, she secured her bachelor’s degree in Digital Media Technology from the Communication University of China.

Senior Director of Production Support Services

Prior to her impactful tenure at Zyter|TruCare, Meghan honed her leadership skills at IntrinsiQ Specialty Solutions. There, in her role as a team coordinator, she stood at the forefront of support for a medical oncology software application. Her responsibilities ranged from user query resolution and procedural documentation to nurturing emerging talents within the team.

A proud alumna of the University of Massachusetts, Amherst, Meghan laid the cornerstone of her journey by earning her Bachelor’s degree 2007 in Sociology.

Shashank Kathuria

Vice President of Engineering

Mahima Govil

Director of Operations

Mahima Govil is an accomplished professional serving as the Director of Operations at Zyter|TruCare, where she plays a pivotal role in leading internal projects aligned with the highest priorities of the leadership team. With a keen focus on streamlining processes and enhancing productivity across the organization, Mahima’s expertise drives the company towards operational excellence and strategic success. 

Before assuming her current role, Mahima made significant contributions to the success of Revinate, a hospitality technology startup. As part of the dynamic team, she excelled in managing go-to-market strategy and operations, overseeing company-wide reporting, and providing critical support for customer billing, earnings & churn analyses, and sales commissions. Her astute insights and analytical prowess were instrumental in optimizing operational efficiencies and fueling Revinate’s growth in the competitive hospitality technology landscape. 

 Prior to her tenure at Revinate, Mahima honed her skills in Sales Operations at Box, a renowned cloud content management company. In this capacity, she served as the subject matter expert for channel partnerships and analytics, leveraging her deep understanding of the sales ecosystem to drive strategic decision-making and cultivate fruitful business relationships.

Lara Fowler

RN, BSN, Chief Clinical Officer

Lara Fowler is the Chief Clinical Officer at Zyter|TruCare. With a passion for delivering customer-centric solutions, she leads a team focused on tailoring the right solutions for each customer’s needs. An esteemed healthcare leader, she has made an impact on the industry through her commitment to excellence and her seamless integration of cutting-edge technology.

Before her current role, Lara served as the Vice President of Customer Engineering at Zyter|TruCare, and before that, as the Managing Director for the Healthcare and Life Sciences Business Consulting team at Salesforce. This experience not only refined her acumen in healthcare technology but also provided her with visionary insights into the evolving landscape of the industry.

What truly sets Lara apart is her 14-year tenure as a compassionate and skilled nurse, providing care at the frontline in critical settings such as ORs, EDs, and Inpatient Units. Her invaluable experience at the bedside instilled in her a deep understanding of the challenges faced by healthcare providers and the needs of their patients, making her a natural advocate for patient-centric solutions.

Inspired by the potential of technology to revolutionize healthcare, Lara ventured into the early days of Population Health, leveraging data and insights to improve the lives of individuals across the United States. This pivotal experience laid the groundwork for her subsequent role at Ascension Health, where she spent five years as a leader in Clinical Strategy, Operations, and Quality. Here, Lara played a pivotal role in supporting a multidisciplinary team of Nurses, Social Workers, and Health Coaches to drive success in various Value-Based Care Arrangements for Medicare, Medicaid, and Self-Insured Employee populations.

Lara’s academic journey began with a bachelor’s degree in nursing and psychology from Samford University, a solid foundation for her belief that the right technology can profoundly enhance healthcare for communities, providers, and, most importantly, patients. Kevin Riley

Chief Executive Officer

Kevin Riley is an exceptional leader, serving as the President & Chief Executive Officer at Zyter|TruCare, where he spearheads the organization’s mission to empower customers with modernized care management capabilities through its comprehensive platform.  

With a diverse and impressive background, Kevin’s expertise spans over two decades in the healthcare technology landscape. Prior to his current role at Zyter|TruCare, he held key positions at several industry giants, contributing significantly to their growth and success. Kevin was the General Manager for Healthcare & Life Sciences at Salesforce, where he played a pivotal role in overseeing the Health Cloud product lines. His tremendous leadership skills were further recognized when he assumed the role of Chief Customer Officer at Salesforce, where he emphasized the importance of putting customers at the heart of business strategies. Kevin came to Salesforce from Vlocity (a Salesforce acquisition) where he led both the Health and Government businesses.  

Before his role at Salesforce, Kevin held executive leadership positions for health companies ranging from convenient care to health insurance. He also served as the first Chief Innovation Officer (CINO) in the American health insurance industry. Kevin’s passion for entrepreneurship and innovation led him to found GuideWell Inc., a technology company that delivered integrated member and patient engagement and care solutions. This entrepreneurial spirit remains ingrained in his approach to problem-solving and transforming healthcare concepts into companies with clear customer value.  

One of Kevin’s most significant contributions to the industry is the development of the methodology for designing healthcare business decisions into software (decision-driven CRM). This groundbreaking approach has enabled some of the largest healthcare and life science companies globally to optimize their operations and achieve remarkable outcomes. 

Throughout his career, Kevin introduced agile delivery methodologies, customer experience (CX), and design thinking into the organizations he worked with. By combining innovation with sound business fundamentals, he has consistently led companies in tackling complex healthcare challenges and achieving sustainable growth. Kevin’s methodology for building healthcare businesses, called modelH, has garnered widespread recognition and numerous awards. Before his tenure as EVP, Chief Commercial Officer, and his roles as COO and CIO, Jason was the CTO and COO of the Healthcare & Life Sciences (HLS) business unit at Salesforce. There, he managed a profitable global business, driving go-to-market strategies in partnership with Salesforce’s ecosystem partners worldwide. Under his leadership, HLS managed an $800M global business, delivering cutting-edge solutions to Patients, Providers, Insurance companies, and Life Sciences organizations during a pivotal era of digital transformation.

Jason’s professional background also includes significant leadership roles at prominent organizations such as SAP, Oracle (Siebel), and GE, where he led large teams dedicated to innovation and customer service. With over twenty years of experience in enterprise software development and deployment, Jason has been a pioneer in incorporating Value-Based modeling into software implementation, revolutionizing the industry’s approach.

Serena Bertola

Vice President, Delivery Success

Serena Bertola is the VP of the Delivery Success team at Zyter|TruCare, leading the Implementation Consulting, Professional Services, Clinical Consulting, and Application Management teams with an unwavering commitment to excellence.

Serena’s primary goal is to design Services Solutions that enable Zyter|TruCare’s customers to make the most of the enterprise product solutions, thus enhancing their capabilities and improving their outcomes. As a true advocate for customers, she plays a crucial role in influencing the Product Design Process by providing the Voice of Customer, ensuring the continuous enhancement of Zyter|TruCare’s offerings to meet customer needs effectively. 

With over a decade of experience, Serena has proven herself adept at helping Public and Private Sector Organizations optimize their processes through Business Process Re-engineering Practices (BPR) and the implementation of TruCare across various Care Management Organizations. Her expertise spans across Medicare, Medicaid, Commercial, and Public Sector lines of business, where she guides clients through readiness review processes, compliance requirements, system integrations, and testing. Collaborating seamlessly with ZTC Product Management for the Software Development Life Cycle (SDLC), Serena’s contributions enrich the entire product ecosystem. 

Before joining Zyter|TruCare, Serena’s experience was centered on supporting startups with competitor analysis, business planning, and operations design. This broad exposure underscores her versatility and ability to adapt to diverse challenges and contexts. 

Serena’s academic credentials include a Master of Science in Innovation and Technological Entrepreneurship from the Manning School of Business at the University of Massachusetts Lowell. Additionally, she holds a Bachelor of Science in Business Organization from Politecnico di Torino, Italy, highlighting her global perspective and dedication to academic excellence.

Todd Riemensnyder

Vice President – Client Success

Todd Riemensnyder is a seasoned professional with a wealth of experience in the healthcare software industry, currently serving as the Vice President of Client Success at Zyter|TruCare. With an unwavering commitment to the success of our clients, Todd spearheads efforts to enable them to provide optimal care to a diverse array of members in the most effective and efficient manner, all while upholding the highest standards of quality and cost management. 

As a leader of the Client Success team, Todd places utmost importance on forging true and lasting partnerships with our valued clients. Working hand in hand throughout the entire customer experience, his team ensures a seamless journey from the initial sales process to key implementation milestones and beyond, with a focus on post go-live support and ongoing account and relationship management. 

 With nearly 15 years of dedicated service at Zyter|TruCare, Todd has made significant contributions across various facets of the company. He has held pivotal roles, from Managing Strategic Account Executive in Account Management, working closely with our largest clients and projects, to leading successful implementations within the Delivery Success organization. Todd’s journey at Zyter|TruCare began as a key contributor to the foundation of the TruCare offering as part of the Product Management team, cementing his expertise in driving product excellence. 

Prior to joining Zyter|TruCare, Todd honed his expertise as a Senior Consultant at eHealthPartners, where he played a crucial role in developing a comprehensive implementation methodology for Care Management applications. His experience further extended to working as a lead analyst, overseeing the successful implementation of the CareAdvance application at TriZetto Group. Additionally,Todd has a background in teaching at Western International University, covering essential subjects like Critical Thinking, Organizational Theory, Supervision & Leadership, and Ethical Issues in Business, reflecting his passion for fostering knowledge.

Navin Sethi

MD Chief Medical Officer

Dr. Navin Sethi is a distinguished leader and Chief Medical Officer at Zyter|TruCare, where he serves as the vital link between the clinical and technical aspects of the organization. With a relentless dedication to aligning the company’s products and services with medical best practices, regulatory standards, and the needs of healthcare providers and patients, Dr. Sethi plays a pivotal role in driving the organization’s success. 

Dr. Sethi takes on a multifaceted portfolio of responsibilities. As the torchbearer of clinical validation, regulatory compliance, product development/strategy, and medical education and training, he ensures that Zyter|TruCare remains at the forefront of innovation and delivers solutions that positively impact the healthcare industry. 

Dr. Sethi’s journey of academic excellence began at the prestigious University of Virginia, where he distinguished himself as the valedictorian of his class. He later graduated from Johns Hopkins School of Medicine, solidifying his position as a leading medical professional. He further honed his expertise through an orthopedic residency at the Washington University School of Medicine, followed by a fellowship at Emory Spine Center. 

A board-certified spinal surgeon of exceptional repute, Dr. Sethi continues to maintain an active clinical practice, holding special permissions to perform procedures at hospitals in the Washington DC metropolitan region, affiliated with the Johns Hopkins system. His pursuit of excellence extends to his research contributions, with numerous publications on orthopedics and spine. Dr. Sethi’s wealth of knowledge and expertise have made him a sought-after educator, sharing his insights on a national and international scale. 

Dr. Sethi’s exceptional contributions have earned him well-deserved recognition as one of the top 50 spinal surgeons in America. Multiple publications have also bestowed upon him the honor of being named a top doctor. Natalie Schibell, MPH

VP of Product Marketing

Natalie Schibell is the VP of Product Marketing at Zyter|TruCare. She leads a global team of Product Marketers and Product Documentation Teams and their collaboration with multiple technical teams responsible for the creation and implementation of the entire product portfolio 

Prior to this role, Natalie was the VP and Research Director for Healthcare at Forrester and oversaw the vertical’s research agenda planning, content production, and client engagement. She was also a VP and Principal Analyst at Forrester and assisted healthcare and life sciences organizations with leveraging technology to drive the delivery of quality healthcare and improve patient outcomes. Her research and analysis have been widely cited in the WSJ, WSJ Pro-Venture Capital, Forbes, NBC News, USA Today, The Business Journals, Business Insider, Fierce Healthcare, Healthcare IT News, STAT News, LeMagIt, VentureBeat, Axios, Healthline, Modern Healthcare, and many other professional publications.  

Prior to her role at Forrester, Natalie served as a Public Health Analyst at the CDC’s National Center for Emerging and Zoonotic Infectious Diseases. She deployed with the Community Interventions and Critical Populations Task Force where she spearheaded digital transformation and operations coordination for the National Wastewater Surveillance System, a $19B data surveillance project mitigating COVID-19. A US Navy Veteran and former Lieutenant Commander, she also served twelve years as a Medical Service Corps Officer, leading large-scale multidisciplinary teams to winning performance as a Director of Public Health, a Director of Medical Readiness, and a Director of Operations for Healthcare Talent Acquisition.  

Natalie possesses 15 years of experience leading cross-functional teams and directing fundamental change and improvement in policy, strategy, and process. She has accelerated digital transformation and growth at the world’s largest healthcare and technology organizations. Natalie holds an MPH in Environmental Health Sciences from New York Medical College’s School of Health Sciences and Practice where she is a member of the Delta Alpha Chapter of Delta Omega, the National Honor Society for Public Health. She also earned a BS in Exercise Science from the George Washington University’s Milken Institute of Public Health and an AOS in Culinary Arts from the Culinary Institute of America.

Brian Zoya

Vice President of Support, Sustaining, & QA

Brian Zoya is the Vice President of Support and Partners at Zyter|TruCare. In this pivotal role, Brian spearheads operational efforts to provide unwavering support to Zyter|TruCare’s valued customers. Additionally, he leads the strategic framework for partners, playing a key role in augmenting ZTC’s cutting-edge products and solutions. 

Brian’s journey to his current position has been marked by a series of stellar achievements and leadership roles. Prior to his role at Zyter|TruCare, he served as the Vice President of Operations and Insights for Healthcare and LifeSciences (HLS) and Finance at Salesforce. During his tenure, he made significant contributions as the company’s Sector GM for Payers/Delivery Systems, with a keen focus on provider network management.  

Before joining Salesforce, Brian excelled at OneCall, the nation’s leading ancillary provider in Workers’ Compensation, where he held various executive leadership roles for seven years, most notably as the Senior Vice President of Provider Relations. Throughout his almost two-decade-long career, Brian has cultivated a diverse background in the healthcare space, encompassing management roles in retail health, corporate wellness, post-acute care and rehab, health insurance, and workers’ compensation. 

Brian’s academic accomplishments include an undergraduate degree from Kent State University and an MBA in Leadership Development from Jacksonville University. He is a passionate advocate for working with start-ups and reorganizations, highlighting his ability to excel in dynamic environments. Brian’s executive prowess lies in his process-driven approach, constantly seeking efficiency gains within organizations. His expertise in technology consulting, product and platform development, and conceptualizing enterprise solutions has empowered organizations across diverse sectors, including healthcare, telecom, insurance, manufacturing, retail, and the public domain. 

Previously, Harish played a pivotal role in architecting Infinite’s Industry Platform Solutions vision, driving transformative business outcomes for customers. His visionary concept of “Platformization” aimed to provide productized software-as-a-service multi-tenant solutions to specific industry segments, helping clients achieve significant cost savings, gain a competitive edge, and expedite go-to-market strategies. Under his leadership, focused Centers of Excellence were established, driving Infinite’s Service Offerings across multiple industries, with a focus on digital transformation, analytics, mobility, quality assurance, and agile development.
